Terms of Service

These Terms of Service ("Terms") govern your access to and use of SendSlip, including the website, WhatsApp bot, API, and any related services (collectively, the "Service"), operated by AbrixelTech Agency ("we", "us", "our").

By creating an account, accessing, or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Eligibility

  • You must be at least 18 years old or the age of majority in your jurisdiction.
  • You must have the legal authority to bind your business or organization to these Terms.
  • You must not be located in a country subject to applicable trade sanctions.
  • By using the Service, you represent that all registration information you provide is accurate, current, and complete.

2. Account Registration & Security

  • You are responsible for maintaining the confidentiality of your login credentials.
  • You are responsible for all activity that occurs under your account, whether authorized by you or not.
  • You must notify us immediately at hello@abrixeltech.com of any unauthorized use or security breach.
  • You may not create accounts by automated means or on behalf of others without authorization.
  • We reserve the right to suspend or terminate accounts that violate these Terms or applicable law.

3. Acceptable Use

You agree to use the Service only for lawful purposes and in compliance with these Terms. Prohibited activities include:

  • Using the Service to send fraudulent, deceptive, or misleading receipts or invoices.
  • Engaging in spamming, phishing, or unsolicited messaging through the WhatsApp integration.
  • Reverse engineering, decompiling, or attempting to extract the source code of the Service.
  • Interfering with or disrupting the integrity or performance of the Service.
  • Uploading or transmitting viruses, malware, or any harmful code.
  • Violating any applicable local, national, or international law or regulation.

4. WhatsApp & Third-Party Services

SendSlip integrates with Meta WhatsApp Cloud API and other third-party platforms. Your use of these integrated services is subject to their respective terms and policies. We are not responsible for the actions or omissions of third-party providers.

  • You must comply with Meta's WhatsApp Business Terms and Meta Platform Policies.
  • We do not guarantee uninterrupted availability of third-party integrations.
  • You are responsible for obtaining any necessary consents from your customers before sending them messages via WhatsApp.

5. Fees, Payments & Plan Limits

  • Paid plans are billed on the terms specified during checkout (monthly or annually).
  • Fees are non-refundable except as explicitly stated in a separate written agreement.
  • We may change fees or introduce new fees with 30 days' notice via email or in-app notification.
  • Usage limits apply per plan. Exceeding limits may result in throttling or temporary suspension until the plan is upgraded or renewed.
  • Late payments may result in service suspension. We are not liable for data loss due to non-payment.

6. Intellectual Property

  • The Service, including its code, design, logos, and brand assets, is owned by AbrixelTech Agency and protected by intellectual property laws.
  • You retain ownership of any content, logos, and business data you upload or submit through the Service.
  • You grant us a non-exclusive, royalty-free license to process your data solely for the purpose of providing the Service to you.
  • You may not copy, modify, distribute, sell, or create derivative works of the Service without our prior written consent.

7. Data & Privacy

Our collection and use of personal data is governed by our Privacy Policy. By using the Service, you consent to such processing and warrant that all data provided by you is collected and shared in compliance with applicable privacy laws.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, ABRIXELTECH AGENCY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ABRIXELTECH AGENCY BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU HAVE PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to indemnify, defend, and hold harmless AbrixelTech Agency, its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to:

  • Your use of the Service in violation of these Terms.
  • Your violation of any applicable law or regulation.
  • Your content or data submitted through the Service.
  • Any dispute between you and your customers or third parties.

11. Termination

  • You may terminate your account at any time by contacting hello@abrixeltech.com or through your account settings.
  • We may suspend or terminate your access immediately without prior notice if you breach these Terms or engage in prohibited activities.
  • Upon termination, your right to use the Service ceases immediately. Sections 6, 8, 9, 10, and 12 survive termination.
  • We are not liable for any data loss resulting from account termination or suspension.

12. Governing Law & Dispute Resolution

These Terms are governed by the laws of the Federal Republic of Nigeria. Any disputes arising out of or relating to these Terms shall first be attempted to be resolved through informal negotiation. If unresolved, disputes shall be submitted to the exclusive jurisdiction of the courts in Lagos, Nigeria.

13. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be notified via email or in-app notification. Continued use of the Service after changes take effect constitutes your acceptance of the new Terms. If you do not agree, you must stop using the Service.

14. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and AbrixelTech Agency regarding the Service and supersede any prior agreements or understandings.
